Terms and Conditions
These Terms are a strong working draft for Artist Editor Commercial. They must be reviewed by a qualified attorney before accepting real customers, taking live payments, or relying on them in a dispute.
1. Agreement to Terms
By signing in, creating an account, subscribing, downloading, installing, accessing, or using Artist Editor, you agree to these Terms and the Privacy Policy. If you do not agree, you may not use the website, desktop application, server features, downloads, accounts, or related services.
2. License Only
Artist Editor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the software and service only for your own lawful editing work while your account remains active and in good standing. You do not receive ownership of the software, source code, workflows, models, non-public systems, design, automation methods, naming, brand, documentation, data structures, timelines, scoring systems, or any proprietary part of Artist Editor.
3. Ownership and Intellectual Property
Artist Editor, including its interface, code, architecture, commercial concept, editing workflow, algorithms, analysis methods, non-public systems, visual design, captions system, tracking workflow, export workflow, names, marks, and related materials, is owned by the operator of Artist Editor or its licensors. All rights not expressly granted are reserved.
4. No Copying, Cloning, Reverse Engineering, or Circumvention
You agree that you will not, directly or indirectly:
- copy, clone, reproduce, imitate, resell, rent, lease, sublicense, or distribute Artist Editor;
- reverse engineer, decompile, disassemble, inspect, extract, or attempt to discover source code, non-public systems, algorithms, models, prompts, scoring methods, private APIs, licensing checks, or proprietary workflows;
- build, fund, assist, or provide specifications for a competing product based on non-public access to Artist Editor, except where this restriction is prohibited by law;
- bypass, disable, tamper with, overload, scrape, automate against, or interfere with account, credit, payment, subscription, security, anti-piracy, watermark, telemetry, rate-limit, or server-verification systems;
- share accounts, sell access, publish private endpoints, publish downloaded installers, publish license tokens, or help any third party gain unauthorized access;
- use Artist Editor to test, benchmark, map, or train a competing system without written permission.
5. Subscription, Credits, and Access Control
Paid features require an active subscription, available credits, or both. Artist Editor may require an internet connection to verify account status, apply usage limits, provide account-connected features, prevent abuse, and enforce licensing. Access may be suspended, limited, or terminated if payment fails, usage appears abusive, account sharing is detected, or these Terms are violated.
6. Payments, Renewal, Cancellation, and Refunds
Subscription payments are processed by Stripe. Unless cancelled before renewal, subscriptions may renew automatically according to the checkout terms shown at purchase. You are responsible for keeping payment information current. Refund policy, trial terms, taxes, and production pricing must be finalized before live launch.
7. Customer Content and Rights
You are responsible for all rights, permissions, releases, licenses, and approvals required for video, audio, likenesses, performances, venues, trademarks, captions, generated text, exports, thumbnails, posts, and any material you import, analyze, edit, export, upload, or publish. Artist Editor does not grant music, publicity, venue, platform, or publishing rights.
8. Output and Publishing Responsibility
Artist Editor may help create edits, captions, titles, metadata, XML files, render instructions, or export files. You are solely responsible for reviewing outputs before use and for complying with TikTok, Instagram, YouTube, Google Drive, Premiere Pro, DaVinci Resolve, Final Cut Pro, and any other platform or tool rules.
9. Changes, Availability, and Beta Features
Artist Editor may change, pause, restrict, remove, or add features, pricing, usage limits, models, analysis methods, APIs, integrations, export formats, and download availability at any time, subject to applicable law. Beta features may be incomplete, unstable, or changed without notice.
10. Account Termination
Artist Editor may suspend or terminate any account, subscription, download, license, API access, or desktop app access for non-payment, abuse, security risk, fraud, illegal activity, chargeback abuse, attempted circumvention, intellectual-property misuse, or violation of these Terms. Termination does not waive unpaid amounts or remedies available under law.
11. Disclaimers
Artist Editor is provided as is and as available. To the maximum extent permitted by law, all warranties are disclaimed, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, perfect tracking, perfect clip selection, perfect captions, or guaranteed platform performance.
12. Limitation of Liability
To the maximum extent permitted by law, Artist Editor and its operators, owners, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages, or for lost content, failed exports, platform takedowns, lost opportunities, account actions, music-rights disputes, or business interruption. Any aggregate liability is limited to the amount you paid for Artist Editor during the three months before the event giving rise to the claim, unless applicable law requires otherwise.
13. Indemnity
You agree to defend, indemnify, and hold harmless Artist Editor and its operators, owners, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your content, exports, publications, account misuse, payment disputes, rights violations, unlawful use, or breach of these Terms.
14. Dispute Terms Placeholder
Governing law, venue, arbitration, class-action waiver, jury waiver, and small-claims language must be finalized by an attorney based on the business entity and jurisdiction.
15. Contact Placeholder
Business name, mailing address, support email, refund policy, effective date, and jurisdiction must be completed before production launch.
